SEPARATION AGREEMENT

The Reverend John Z. Doe and St. X Episcopal Church, Any City, Florida knowingly and voluntarily enter into this Separation Agreement with each party intending to be bound by it.  In consideration of the mutual covenants and promises set forth below, the parties agree as follows:

1.                  The Vestry of St. X hereby accepts the resignation of The Reverend John Z. Doe as Rector effective March 31, 2002.  The Reverend John Z. Doe 's departure shall be reflected as a mutual separation in St. X Church records.  

2.                  St. X Church agrees to pay to The Reverend John Z. Doe his full compensation (including stipend, housing allowance, social security offset and pension premiums), medical insurance and reimbursable expenses through March 31, 2002.

3.                  After March 31, 2002 The Reverend John Z. Doe and St. X Church acknowledge that The Reverend John Z. Doe 's will be considered on a leave of absence until June 30, 2002 or until such time as he receives another call, whichever comes first. 

4.                  After March 31, 2002 St. X Church agrees to pay The Reverend John Z. Doe his full compensation, (including stipend, housing allowance, social security offset and pension premiums), and medical insurance until June 30, 2002 or until such time as he receives another call, whichever comes first. 

5.                  Each party agrees to refrain from engaging in any activity whatsoever that would tend to disparage or diminish the other's reputation, or would tend to have a detrimental effect upon the interests of the other.   The Reverend John Z. Doe agrees not to solicit, directly or indirectly any parishioners of St. X Church to leave St. X Church or transfer membership for any reason whatsoever.

6.                  This Agreement constitutes the final and binding agreement between the parties and it may not be supplemented or changed without the written consent of all parties.  This Agreement expressly terminates and supersedes all other agreements, if any, between the parties, which shall be null, void and of no further force and effect.

7.                  IN WITNESS WHEREOF, intending to be legally bound, the parties have executed this Agreement on the dates indicated.
